Eden Research plc (AIM: EDEN), the AIM listed company that develops and supplies breakthrough biopesticide products and natural microencapsulation technologies to the global agrochemicals, animal health and consumer products industries, provides the following trading update for the year ended 31 December 2017.

The Group has delivered a robust performance for the year with revenue expected to be in the region of £1.9m, significantly up from £0.4m in 2016, with a loss before tax of approximately £0.9m (2016: loss of £1.9m). Cash at bank at 31 December 2017 was c. £3.7m (2016: £1.5m). This was a good performance since the 2017 growing season was challenging for fungicidal products in many southern European countries due to hard frosts in April followed by high heat and drought in the summer. These well-documented conditions resulted in the smallest harvests in 60 years in key markets such as France and Italy.

During the year, regulatory approval was granted for Eden’s first agrochemical fungicide product, 3AEY, and first commercial sales were achieved in France with further approvals received in Cyprus, Albania and Portugal. The Company extended its 3AEY patent protection in Spain, Greece, Bulgaria and Cyprus and its nematicide patent was granted in the US. Overall, the Company is encouraged by the level of sales of 3AEY and its continued acceptance into the market.

Eden’s patent portfolio grew to 78 granted patents during the year (2016: 74) with a further 52 pending patents (2016: 38).

Multiple commercial agreements were signed with Sipcam SpA ("Sipcam") during the year, including an Evaluation and Option Agreement, for which a fee of €0.6m (£0.5m) was paid to Eden, and a Collaboration Agreement establishing a long-term collaborative partnership.

As reported on 12 December 2016, Eden’s distribution partner, Eastman Chemical, announced the submission of the regulatory dossiers for its new nematicide, CedrozTM, which was developed by Eden. Cedroz will be a new tool for farmers to control a wide range of economically important nematodes with the first sales expected in advance of the 2020 growing season. Eastman made significant progress during the year with the submission of applications for the far-reaching registration of Cedroz across a number of territories and are building an impressive platform for the commercialisation of Cedroz as an important solution to the challenges that nematodes create for farmers globally.

Cedroz will be a new tool for farmers to control a wide range of economically important nematodes.

The first product dossiers were submitted to the authorities in Israel, Europe, and Mexico for the use in fruit and vegetable farming against root knot nematodes. The first sales are expected towards the end of 2019.

Cedroz is an innovative formulation based on specific nature-identical terpenes and based on an encapsulation technology which was developed and patented by Eden Research plc (“Eden”). Eastman is Eden’s exclusive partner for the development and distribution of this product in more than 25 key countries around the world. The favourable toxicological regulatory profile of Cedroz will provide a high level of flexibility on the timing of application for farmers and comfort for the workers. In all regulatory trials completed, no residues were found in the crops at harvest.

“Eden has achieved a successful first half performance. A significant volume of our first plant protection fungicide, 3AEY, has already been sold by our partners in France, Greece and Kenya with on-going sales in Italy and Spain in the second half of the year. While it is too early to predict the impact of climate and overall conditions on sales, we are pleased to say that interest in 3AEY has been steadily growing, and we expect this to translate into increasing market share as time, regulatory approvals and growing conditions permit.

During the period, we successfully concluded a series of commercial agreements with one of our existing partners, Sipcam SpA, who paid us a fee of €0.6m for certain rights to Eden’s agrochemical products in a number of important territories. Additionally, Sipcam made a strategic investment in Eden subscribing to £2.2m in new shares and consequently has become a significant shareholder with a 9.9% stake in the Company.

On 21 December 2016, we announced an exclusive distribution agreement with Eastman Chemical for our nematicide product to be marketed by Eastman as CedrozTM in nearly thirty countries across the world. Progress during the first half of 2017 has been made in registering Cedroz in a number of territories and we look forward to working closely with Eastman to maximise the potential for Cedroz from first commercial launch.

We are now beginning to see the result of our investments in commercial relationships, intellectual property, technology and regulatory approvals. These investments, along with our evolving business model will continue to fuel growth. Whilst we will continue to leverage our assets into new regulatory approvals and territories and growing sales, we are increasingly focused on developing our capabilities to support future growth.

Having been with Eden since 2012, I have watched its evolution from early stage development to commercial stage, with great prospects and the right team in place to fully exploit the technologies and products and that have been developed over the years. I believe that the time is now right for me to retire and am pleased that I am passing the role of Chairman to Lykele van der Broek, who has the necessary experience to support the executive team and lead the Board through this new and exciting stage that the Company has reached.

Eden Research plc (AIM: EDEN), the AIM listed company that provides breakthrough natural microencapsulation technologies to the global agrochemicals, animal health and consumer products industries, announces that it has received authorisation in Portugal for its first product, Mevalone (previously referred to as "3AEY"). The Portuguese authorities have issued "Authorisation for Sale" number 1012 covering the use of Mevalone for the control of botrytis (grey mould) on grapes.  Mevalone will be marketed in Portugal by Eden's partner, K. & N. Efthymiadis S.A. 

Mevalone is a terpene-based fungicide that targets Botrytis, a widespread fungal disease that causes grey mould on many fruits and vegetables leading to the rapid loss of commercially valuable crops.

The approval is a significant milestone for Eden and grants the Company access to another one of the top European grape producers. Mevalone, sold under varying trade names in different countries, has already gained approval in multiple countries including Spain, Italy, Kenya, Malta, Greece, Bulgaria and, mostly recently, France. Furthermore, Mevalone has already had significant commercial success in many of these markets.

Sean Smith, Chief Executive Officer of Eden, commented: "We are delighted to announce that we have gained authorisation for the sale and use of Mevalone in Portugal, further-increasing Eden's geographic footprint. Together with Italy, France and Spain we now operate in the four largest grape producing countries in Europe, and we continue to expand into additional countries worldwide.

"Botrytis has the potential to destroy up to 30% of a vineyard in a matter of days. Consequently Mevalone plays a very important role in the treatment of this disease. This approval from the Portuguese authorities opens up significant opportunities for additional crops in Portugal through minor and/or emergency use label extensions. Italy recently received emergency authorisation for the use of Mevalone on pomegranate, and we expect to realise further extensions in many current and new territories.

"Today's announcement is an important commercial opportunity for Eden and we are pleased to be working with our partner, K. & N. Efthymiadis S.A., to develop the Company's presence in Portugal. In addition, it is a positive indicator of the regulatory progress Eden is making and we look forward to further approvals in due course."

At the meeting Eden's Chairman, Tom Lupton, will make the following statement:

Since our last AGM, the Company has seen the first commercial sales of 3AEY in Italy, Spain and Greece; received registration of 3AEY in France, as well as other countries within the southern EU zone; signed an exclusive distribution agreement with Eastman Chemical for our nematicide product; and expanded its team through the appointment of experienced sector experts.

We have also today announced the signing of a number of important commercial agreements with Sipcam SpA who, at the same time, have made a strategic investment in Eden. This, in itself, is an important event which serves as a platform upon which we will be able to maximise the value of Eden, its products and technologies.

All of this, I hope, goes to show the significant progress that has been made over the last twelve months.

And yet, the next twelve months is set to be even better for Eden with first commercial sales of 3AEY in France in 2017; product registrations progressing in several regions, including the USA; distribution agreements to be signed covering multiple territories for 3AEY and other products; the launch of Bayer Animal Health's pet products; the launch of TerpeneTech's head-lice product; and research and development work being undertaken which will help to strengthen the Company's portfolio of products.

Investment by strategic commercial partner and institutional placing

Eden Research plc (AIM: EDEN), the AIM-listed company that provides breakthrough biocontrol products and natural microencapsulation technologies to the global agrochemicals, animal health and consumer products industries, announces that, further to the announcement earlier today, it has raised c.£2.4 million, before expenses, through a subscription (the "Subscription") for 20,494,330 new ordinary shares of 1p each in the Company ("Ordinary Shares") (the "Subscription Shares") and an institutional placing (the "Placing") of 1,915,888 new Ordinary Shares (the "Placing Shares") both at a price of 10.7 pence each.

Sipcam SpA ("Sipcam"), Eden's commercialisation partner in a growing list of countries, subscribed for the Subscription Shares which represent c.9.9 per cent. of the enlarged share capital.

The Company has also received a non-binding indication from an existing institutional investor for £300,000 of Ordinary Shares at the Placing Price (the "Additional VCT Placing"). The Additional VCT Placing is anticipated completing (subject to contract and relevant regulation) once the Company receives clearance from HMRC that the Company's business will qualify for the relevant tax reliefs in connection with the Additional VCT Placing. The Company will submit an application for clearance to HMRC shortly and it is anticipated by the Company that such clearance will be granted, should it be granted, within 2 - 3 months. Even if such clearance is granted, there can be no certainty that the Additional VCT Placing will occur. The Company will make further announcements as is appropriate.

Application has been made for the Subscription Shares and the Placing Shares to be admitted to AIM and it is expected that admission will take place on 5 July 2017 ("Admission").

Under the terms of its subscription for the Subscription Shares, Sipcam has been granted the right to appoint a director to the board of the Company for as long as it retains a minimum interest of seven and a half (7.5) per cent. of the issued share capital of the Company. The Parties have also signed a lock-in agreement which prevents Sipcam from selling its Placing Shares for a period of three years.

Following Admission, the Company's total issued and voting share capital will comprise 207,064,337 Ordinary Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company.

In addition to expanding the commercialisation "footprint" for 3AEY to include Australia, the companies are formalising their relationship as collaborators, and Eden is granting Sipcam the right to exclusively distribute Eden products in a range of new countries, including some of the largest markets for agrochemicals in the world. As part of Sipcam's overall commitment to the relationship with Eden (in addition to the Subscription (defined below)), in connection with the signed agreements, financial terms have been agreed which include an upfront cash payment to Eden of €0.6m and potential further future fees which are dependent upon which rights, if any, Sipcam decides to take.

The Company also announces that it proposing to raise in aggregate c.£2.4m (before expenses) through a subscription of up to 20,494,330 new ordinary shares of 1 pence each in the Company ("Ordinary Shares") (the "Subscription Shares") and an institutional placing of up to 1,915,888 new Ordinary Shares (the "Placing Shares") (the "Placing") both at a price of 10.7 pence per new Ordinary Share. Sipcam is proposing to make a strategic investment of c.£2.2m in the Company and to enter into a subscription agreement to subscribe for the Subscription Shares (the "Subscription").

Commercial and Development Agreements with Sipcam

The agreements with Sipcam are summarised as follows:

• Collaboration and Evaluation & Option Agreements
  • Provides Sipcam with the first right to negotiate for the distribution rights for new plant protection products that Eden develops in countries where Sipcam has an affiliate, subject to certain ongoing commitments and evaluations.
  • Grants Eden access to Sipcam-owned technologies and R & D facilities.
  • Grants Sipcam the right to evaluate a number of Sipcam-Oxon Group's active substances encapsulated using Eden's Sustaineä microencapsulation technology. This includes combinations with Eden's own active ingredients.
  • Provides a framework agreement for subsequent licence and/or supply agreements under the collaboration.
     
• Distribution Agreements
  • Eden has agreed to appoint Sipcam as Eden's exclusive distributor in Italy, Spain and Australia for 3AEY.
  • 3AEY is Eden's first product that targets botrytis on grapes and a range of additional high value fruits and vegetables. It is sold as 3logy® in Italy and Araw® in Spain.
  • The existing licence agreements with Sipcam (covering Italy and Spain) will be terminated and replaced with the new distribution agreements reflecting the evolution of Eden's business model (from licensing to product sales) and providing Eden with the potential for both additional [future] revenue and improved profits.

Proposed Subscription and Placing

The Company is proposing to raise c.£2.4m (before expenses) through the Subscription and the Placing. The net proceeds of the Subscription and Placing would be used to:

• Register existing and new products and increase the global reach of existing Eden products
• Commence new R&D trials in both plant protection products and personal care applications
• Pursue commercialisation of animal health products outside of the United States
• Expand business and brand development activities

Sipcam is proposing to enter into a subscription agreement to subscribe for the Subscription Shares. Under the terms of their proposed subscription, Sipcam would enter into a lock-in agreement which would prevent Sipcam from selling its Subscription Shares for a period of three years. Sipcam would be granted the right to appoint a director to the board of the Company for as long as it retains a minimum interest of seven and a half (7.5) per cent. of the issued share capital of the Company.

The price for the Subscription Shares and the Placing Shares of 10.7 pence reflects the average share price over 60 business days up to 21 June 2017.

Assuming the full amount were issued, the Subscription Shares and the Placing Shares would represent in aggregate approximately 12.1% of the Company's current issued share capital.
