Eden Research plc (AIM: EDEN), the AIM listed natural micro-encapsulation company, announces that it has signed a new Evaluation Agreement ("Agreement") with Sipcam Italia Spa and Sipcam Iberia (collectively referred to as "Sipcam" and a Sumitomo-related company) to evaluate two new products targeting additional important crop diseases. In November 2014, Sipcam took an exclusive licence to Eden's first product, 3AEY, for the treatment of botrytis. This product will be launched following the completion of the EU product registration allowing the sale and use of 3AEY on grapes, initially, across the Southern EU zone.

Following the successful work with 3AEY, Sipcam is expanding its evaluations of Eden's technologies by conducting field trials on two new Eden products for the treatment of powdery mildew, which affects flowers and fruit, and apple scab during the course of 2015. These products are also based upon combinations of Eden's EU approved terpenes and its patented micro-encapsulation technology, GO-E™. It is anticipated that Sipcam will expand its evaluations in 2016 and potentially begin the product registration process under a new licence from Eden should the trials prove to be conclusive during the course of 2015.

Financial terms of the Agreement are subject to confidentiality and have not been disclosed.

Mr Cridland has over 20 years of experience in senior management and transactional roles in the international pharmaceutical and technology sectors, including serving on the boards of listed companies as an executive director.

Mr Cridland, aged 47, currently serves as Chief Financial Officer and Company Secretary of Revolymer plc. He joined Revolymer in September 2008 from Renovo Group plc where he spent seven years as Executive Director of Finance and Business Development. He has been centrally involved in the listing of both businesses and in a number of significant licences and other product commercialisation deals. Mr Cridland has a first-class honours degree in Natural Sciences from the University of Oxford and is a Fellow of the Institute of Chartered Accountants in England and Wales.

He began his career at Coopers & Lybrand Deloitte, before moving on to senior transactional roles at Enskilda Securities and senior finance and transactional roles at GlaxoWellcome and GlaxoSmithKline. He is also currently a Governor and a Non-Executive Director of Cheadle Hulme School, Cheshire.

Eden Research Plc (AIM: EDEN), the AIM-listed natural micro-encapsulation company, announces that it has signed an exclusive option agreement (“Agreement”) with Taminco BVBA’ s crop protection division following a series of successful field trials conducted during the second half of 2014. Taminco BVBA (“Taminco”) is a subsidiary of Eastman Chemical Company.

The Agreement grants Taminco the right to further evaluate and conduct large-scale marketing and regulatory trials with Eden’s nematicide product B2Y for crop protection until 31 March 2016. It is anticipated that following a successful outcome in 2015, Eden and Taminco will negotiate a global licensing arrangement to allow the commercialisation of this product. The nematicide B2Y uses Eden’s naturally-derived active ingredients and GO-E Inside™, Eden’snatural micro-encapsulation technology.

Eden Research plc (AIM: EDEN), the AIM-listed biopesticide and encapsulation company, announces that it has been granted a Patent from the Korean Intellectual Property Office covering the composition and use of its key active terpene-based ingredients (Patent No. 10-1478012).

The patent specifically covers, "Compositions and Methods Comprising Terpenes or Terpene Mixtures selected from Thymol, Eugenol, Geraniol, Citral, and L-Carvone." This grant widens the patent coverage in South Korea from the patent announced in July 2014 which encompassed the application of Eden's encapsulation and terpene technology for killing mites.

Eden Research plc (AIM: EDEN), the AIM listed natural micro-encapsulation company, announces that it has commented on the draft Registration Report from the regulatory authorities in Malta in relation to its review of the application for the authorisation of 3AEY, Eden's agrochemical product which is used to tackle botrytis, a fungal disease affecting many plants, including grapes.

The Company has provided comprehensive responses to points raised by the Maltese authorities. The Maltese authorities will next collate all comments received and then advise Eden whether or not all of the information that has been submitted by Eden is sufficient for authorisation of 3AEY. Once authorisation has been given by Malta, the remaining Southern EU zone member states will have 120 days in which to issue their authorisations. Eden, its advisors and its licensees fully expect authorisation in due course, following the processes and requirements of the regulatory authorities.

In addition, Sumi Agro will have the right to trial, register, develop and sell certain other plant protection products for use in France using Eden's natural encapsulation technology, GO-E Inside™.

The Licence Agreement, which lasts for 20 years, covers the use of 3AEY in a number of agricultural applications and the initial targeted use will be on grapes for control of Botrytis, a fungus that affects many plants and is a major concern across Europe.

This follows the news announced on 21 November 2014 that Eden signed an exclusive Licence Agreement with Sipcam Italia Spa and Sipcam Iberia to sell 3AEY in Italy and Spain, respectively.

Under the terms of the agreement, Eden will receive an upfront payment followed by a number of milestone payments relating to the approval of the product by the EU, which is expected in spring 2015, and sales targets. Eden will also receive ongoing royalty payments based on product sales.

Eden Research plc (AIM: EDEN), the AIM listed natural micro-encapsulation company, announces that it has converted £2,295,192 being all of the loans of the Company at the date of this announcement, together with accrued interest and finance charges relating to the loans, into 20,865,382 new  ordinary shares in the Company at a price of 11p per share.

Following this debt conversion, and once the shares have been admitted to trading on AiM, the number of shares in issue will be 154,142,880. Application will be made for the new ordinary shares to be admitted to AIM and we expect dealings to begin with effect from Thursday 4 December.

The Company has a number of patents and a pipeline of products at differing stages of development targeting specific areas of the global agrochemicals industry. To date, the Company has invested in the region of £12m in developing and protecting its intellectual property and seeking regulatory approval for products that rely upon the Company’s technologies. Revenues earned by the Company have been modest whilst the Company has concentrated on securing patent protection for its intellectual property, gaining regulatory approvals, identifying suitable industrial partners, and entering into licence agreements. 

In May of 2013, the three actives that comprise Eden’s first commercial product, 3AEY, were approved as new ingredients for use in plant protection products.  This represents a major milestone in the commercialisation of Eden’s technology and is a significant accomplishment for any company.  To illustrate this point, one should note that in all of 2013, Eden’s approvals represented 3 of only 10 new active ingredients approved by the EC.
